THIS AGREEMENT AND PLAN OF MERGER is made and entered into as of November 4, 2015, by and among SIGMA DESIGNS, INC., a California corporation (“Acquirer”), TORREY ACQUISITION CORP., a Delaware corporation and wholly owned subsidiary of Acquirer (“Merger Sub”), BRETELON, INC., a Delaware corporation (the “Company”) and FORTIS ADVISORS LLC, a Delaware limited liability company, as Stockholder Representative (the “Stockholder Representative”).
