THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of MAY 31, 2017, by and between CurAegis Technologies, Inc., a New York corporation (the “Company”), each purchaser identified on Schedule A hereto (each an “Initial Purchaser” and, collectively, the “Initial Purchasers”), and each other purchaser executing a counterpart signature page to this Agreement (each an “Additional Purchaser” and, collectively, the “Additional Purchasers”). The Initial Purchasers and Additional Purchasers are sometimes referred to in this Agreement, individually, as a “Purchaser” and, collectively, as the “Purchasers”.
