THIS SENIOR SECURED CONVERTIBLE NOTE is a duly authorized and validly issued Senior Secured Convertible Note of Aeon Global Health Corp., a Delaware corporation, (the “Company”), having its principal place of business at 2225 Centennial Drive, Gainesville, GA 30504, due March 20, 2019 (this note, the “Note”). This Note is being issued pursuant to the Exchange Agreement (as defined below) among the Company and the original holder of the Note. By its acceptance of this Note, Holder agrees to be bound by the terms of the Exchange Agreement. This Note is a direct obligation of the Company and payment of principal and interest of this Note shall be secured in accordance with the Amended Security Agreement dated as of the Original Issue Date of this Note (the “Amended Security Agreement”).
