This EMPLOYEE CONFIDENTIALITY AND INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT (the “Agreement”) is made and entered into by and between Sun BioPharma, Inc., a Delaware corporation (together with any subsidiaries of Sun BioPharma, Inc., “Company”), and [NAME] (“Employee”), as of [DATE] (the “Effective Date”).
