FOR VALUE RECEIVED, and on account of the Purchase Price set forth in that certain Purchase and Sale Agreement dated as of the date hereof (the "Purchase Agreement"), ICY MELLON LLC, a Texas limited liability company having its principal office at 22 East 78th Street, New York, New York 10075 (“Borrower”), hereby unconditionally promises to pay to the order of YUNHONG CTI LTD., an Illinois corporation, f/k/a CTI Industries Corporation, having an office at 22160 N.
