This Purchase Agreement (this “Agreement”), dated as of October 22, 2021, is entered into by and among Vicky L. Sansoni, a Florida resident (“Sansoni”), Wendy K. Kropenick, a Florida resident (“Kropenick” and, together with Sansoni, the “Sellers,” and each is, a “Seller”), Full Moon Telecom, LLC, a Florida limited liability company(“Full Moon”), Gibson Technical Services, Inc., a Georgia corporation (“Buyer”), and Orbital Energy Group, Inc., a Colorado corporation (“OEG”, and together with Buyer, “Buyer Parties”, and each a “Buyer Party”). Certain capitalized terms used herein are defined on Exhibit A hereto, which is hereby incorporated into this Agreement by reference and made a part hereof.
