This LOAN AND SECURITY AGREEMENT (this “Agreement”) is entered into as of April 7, 2020, by and among HSBC Ventures USA Inc. (together with its successors and assigns, “Bank”), AVEPOINT, INC. (f/k/a Apex Technology Acquisition Corporation and successor by merger to AvePoint US, LLC), a Delaware corporation (“Borrower”), and each of the Guarantors (as defined below) party hereto from time to time.
