AMENDED AND RESTATED STOCKHOLDER PROTECTION RIGHTS AGREEMENT (as amended from time to time, this “Agreement”), dated as of November 2, 2021 (at 3:06 pm New York City time), between Optical Cable Corporation, a Virginia corporation (the “Company”), and American Stock Transfer & Trust Company, LLC, a New York limited liability trust company, as Rights Agent (the “Rights Agent”), which term shall include any successor Rights Agent hereunder) and amended and replaces in its entirety the Stockholder Protection Rights Agreement dated as of October 28, 2011 between the Company and the Rights Agent (the “Original Agreement”).
