This Contingent Value Rights Agreement, dated as of January 7, 2022 (this “Agreement”), is entered into by and among AcelRx Pharmaceuticals, Inc., a Delaware corporation (“Parent”), James Wilkie (the “Stockholder Representative”), solely in his capacity as the representative of the Holders and Computershare Inc., a Delaware corporation (“Computershare”), and its wholly-owned subsidiary, Computershare Trust Company, N.A., a federally chartered trust company, collectively as Rights Agent (the “Rights Agent”).
