(the “Company”) desires to amend (i) the Securities Purchase Agreement, dated as of February 6, 2022, by and among the Company and the purchaser signatory thereto pursuant to which the Company issued, among other securities, the Warrants (as defined below) (the “Purchase Agreement”) and (ii) the Common Stock Purchase Warrant issued February 9, 2022, by the Company and the purchaser signatory thereto pursuant to which the Company issued the Warrants (as defined below) (the “Warrant Agreement”).
