THIS AGREEMENT, dated as of February 17, 2023, is made and entered into by and between Usio, Inc. inc., a Nevada corporation, having an office address at 3611 Paesanos Parkway, Suite 300, San Antonio, Texas 78231 ("Usio, Inc." or the "Company") and the individual named in Schedule 1 hereto, residing at the address listed in Schedule 1 (hereinafter referred to as the "Employee").
