This FIRST AMENDMENT TO CREDIT AND GUARANTY AGREEMENT, dated as of June 16, 2023 (this “First Amendment”), by and among COHU, INC., a Delaware corporation (the “Borrower”) and DEUTSCHE BANK AG NEW YORK BRANCH, as administrative agent (in such capacity, the “Administrative Agent”). Unless otherwise indicated, all capitalized terms used herein but not otherwise defined herein shall have the same meanings as specified in the Credit Agreement or, if not defined therein, the Amended Credit Agreement (each as defined below).
