This Convertible Note Purchase Agreement (this "Agreement"), dated as of July 12, 2023, is entered into among GUERRILLA RF, INC., a Delaware corporation (the "Company"), and the persons and entities (each individually a "Purchaser," and collectively, the "Purchasers") named on the Schedule of Purchasers attached hereto (as the same may be updated from time to time, the "Schedule of Purchasers").
