This SHARE PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of September 14, 2023 (the “Agreement Date”), by and among Cadence Design Systems, Inc., a Delaware corporation (“Acquiror”), Intrinsix Corp., a Massachusetts corporation (the “Company”), and CEVA, Inc. a Delaware corporation (the “Shareholder”).
