This MEMBERSHIP INTEREST PURCHASE AGREEMENT, dated as of September 20, 2023 (this “Agreement”), is made by and between Genasys Inc., a Delaware corporation (“Purchaser”) and Word Systems Operations, LLC, an Indiana limited liability company (“Seller”) and Evertel Technologies, LLC, a Nevada limited liability company (the “Company”).
