This TENDER AND SUPPORT AGREEMENT (this “Agreement”), dated as of October 11, 2023, is entered into by and among Kontron America, Incorporated, a Delaware corporation (“Parent”), Kontron Merger Sub., Inc., a Delaware corporation and wholly-owned subsidiary of Parent (“Merger Sub”), and the undersigned shareholder (the “Shareholder”).
