THIS SECOND AMENDED AND RESTATED INVENTORY FINANCING AND PURCHASE MONEY SECURITY AGREEMENT (this "Agreement") is entered into by and between Rush Truck Leasing, Inc. ("RTL") and PACCAR Leasing Company, a division of PACCAR Financial Corp. ("PLC") as of November 1, 2023 (the "Effective Date"). This Agreement amends and restates in its entirety that certain Inventory Financing and Purchase Money Security Agreement Paper Loan Agreement, dated as of May 31, 2001 and as amended from time to time and as further amended by that certain Amended and Restated Inventory Financing and Purchase Money Security Agreement Paper Loan Agreement, dated as of October 1, 2021 (the “Original VIP Agreement”).
