This SEPARATION AND MUTUAL RELEASE OF CLAIMS AGREEMENT ("Agreement") is made and entered into by and between Usio, Inc., a Nevada corporation, having an office address at 3611 Paesanos Parkway., Suite 300, San Antonio, Texas 78231, together with its affiliates, subsidiaries, attorneys, agents, officers and directors ("Usio, Inc." or the "Company") and Tom Jewell ("Employee") as of December 11, 2023 (the "Effective Date").
