THIS TERM LOAN AGREEMENT (“Loan Agreement” or “Agreement”) is executed to be effective as of the 22nd day of December, 2023, by and between Greater Nevada Credit Union, a domestic nonprofit cooperative corporation organized under the laws of the State of Nevada (together with its successors and assigns, the “Lender”); Aemetis Biogas 1 LLC, a limited liability company organized under the laws of the State of Delaware (the “Borrower”), and Aemetis Biogas Holdings LLC, a limited liability company organized under the laws of the State of Delaware, as guarantor (“Guarantor”). Borrower and Guarantor are referred to each as an “Obligor” and collectively as the “Obligors”, and Lender and Obligors are referred to each individually as a “Party” and collectively as the “Parties”.
