THIS ESCROW AGREEMENT (this "Escrow Agreement") is dated as of September __, 2012, among Canfield Medical Supply, Inc., a Colorado corporation (the “Company”), Corporate Stock Transfer, Inc., as escrow agent (the "Escrow Agent"), and Key Bank, as escrow holder (the "Escrow Holder"). Capitalized terms used but not defined herein shall have the meaning set forth in the Subscription Agreement (as defined below).
