THIS EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of September 9, 2013 (the “Effective Date”) and is by and between GAIN Capital Holdings, Inc., a corporation organized under the laws of Delaware (the “Company”) and Jason Emerson (the “Executive”). Reference is made to that certain Amended and Restated Investor Rights Agreement, dated as of January 11, 2008, by and among GAIN Capital Holdings, Inc. (the “Company”), each person identified on Schedule A thereto as an investor and the person identified on Schedule A thereto as a founding stockholder (the “Agreement”). All capitalized terms used herein and not otherwise defined shall have the meanings given them in the Agreement.
