THIS PURCHASE AND ASSUMPTION AGREEMENT (this “Agreement”) entered into as of November 11, 2009, by and between FIRSTMERIT BANK, N.A., a national banking association (“Buyer”), and FIRST BANK, a Missouri state chartered bank (“Seller”).
