As you know, on September 25, 2012 (the “Closing Date”) Cisco Systems, Inc. (“Cisco”) acquired ThinkSmart Technologies Limited (“ThinkSmart”), (the “Acquisition”) pursuant to the Share Purchase Agreement by and among Cisco Systems Internetworking (Ireland) Limited, ThinkSmart, the Sellers set forth on Exhibit A thereto, the Guarantors set forth on Exhibit B thereto and the Sellers’ Agent, dated as of September 25, 2012 (the “Share Purchase Agreement”). On the Closing Date, you held one or more outstanding restricted stock units related to shares of ThinkSmart common stock that were previously granted to you under the ThinkSmart 2012 Equity Incentive Plan (the "Plan"). Pursuant to the Share Purchase Agreement, on the Closing Date, Cisco assumed all obligations of ThinkSmart under your outstanding restricted stock unit award(s).
