THIS LOAN AND SECURITY AGREEMENT (this "Agreement") dated as of March 13, 2013 (the "Effective Date") by and among THIRD SECURITY SENIOR STAFF 2008 LLC, as administrative agent ("Agent"), and a lender, and the other lenders party hereto from time to time (each a "Lender", and collectively the "Lenders"), and TRANSGENOMIC, INC., a Delaware corporation with offices located at 12325 Emmet Street, Omaha, Nebraska 68164 ("Borrower"), provides the terms on which Lenders agree to lend to Borrower and Borrower shall repay Lenders.
