THIS AMENDMENT NO. 2 to Loan Agreement (this “Amendment”) is entered into this 20th day of August, 2013, by and between SILICON VALLEY BANK (“Bank”) and HARMONIC, INC., a Delaware corporation (“Borrower”). Capitalized terms used herein without definition shall have the same meanings given them in the Loan Agreement (as defined below).
