This STOCK PURCHASE AGREEMENT (this "Agreement"), dated as of May 19, 2016, is entered into by and among each of the stockholders of United Casualty and Surety Insurance Company set forth on the signature page (each a "Seller" and collectively the "Sellers") and GENERAL INDEMNITY GROUP, LLC, a Delaware limited liability company ("Buyer").
