This Assignment and Assumption of Purchase Agreement (“Assignment”) is entered into between KBS CAPITAL ADVISORS LLC, a Delaware limited liability company (“Assignor”), and KBS SOR 1800 WEST LOOP SOUTH, LLC, a Delaware limited liability company (“Assignee”), as of 7:00 a.m. (Pacific time) on November 20, 2012 (“Effective Date”).
