This REGISTRATION RIGHTS AGREEMENT (this "Agreement"), is dated as of August 6, 2010, by and between Trim Holding Group, a Nevada corporation, (the "Company"), and Allkey Ltd., a United Kingdom registered entity (the “Buyer”).

TRIM HOLDING GROUP, a corporation organized under the laws of the State of Nevada (the “Company”), hereby certifies that, for value received, ALLKEY, LTD. (the “Holder”), is entitled, subject to the terms set forth below, to purchase from the Company at any time after the issue date until 5:00 p.m., E.S.T on the second (2nd) anniversary after the issue date (the “Expiration Date”), 9,000,000 fully paid and non-assessable shares of Common Stock at a per share purchase price of seven dollars ($7.00) per share, subject to adjustment pursuant to Section 2. The afore described purchase price per share, as adjusted from time to time as herein provided, is referred to herein as the “Purchase Price.” The number and character of such shares of Common Stock and the Purchase Price are subject to adjustment as provided herein.
