THIS EXPENSE LIMITATION AGREEMENT ("Agreement") is made and entered into effective as this 1st day of August, 2016 by and between STARBOARD INVESTMENT TRUST, a Delaware statutory trust (the "Trust"), on behalf of its series, THE SECTOR ROTATION FUND (the "Fund(s)"), and GRIMALDI PORTFOLIO SOLUTIONS, INC., a New York corporation (the "Advisor").
