You have been granted a Performance Share Unit Award (the “Award”) pursuant to the Independence Realty Trust, Inc. 2022 Long Term Incentive Plan (“Plan”). Attached as Appendix A hereto is the Annual Cash Bonus Plan (the “Annual Cash Bonus Plan”) as adopted pursuant to Section 10 of the Independence Realty Trust, Inc. 2022 Long Term Incentive Plan (the “Plan”). You have been granted the opportunity to earn a cash award (the “Cash Bonus Award”) under the Annual Cash Bonus Plan. This Annual Cash Bonus Award Agreement (the “Award Agreement”) sets forth the terms and conditions related to such Cash Bonus Award.
