This Definitive Share Exchange Agreement (“Agreement”), dated as of December 30, 2016, Amended on February 21, 2017 and Amended on September 25, 2017, is between James M. Nixon, individually, (“Nixon”), Nixon Restaurant Group, Inc. (“NRG”), a Florida corporation located at 15400 West 64th Avenue, Unit E1A, Arvada, Colorado 80007 and West Coast Ventures Group Corp. (“WCVC”), located at 333 City Blvd. West, Orange, California 92868. Collectively, Nixon, NRG and WCVC are the “Parties.”
