THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”), is made effective as of MAY 11, 2015 (the “Effective Date”), by and among FLUX CARBON STARTER FUND LLC (“Buyer”) and PERVASIP CORP. (FKA eLEC COMMUNICATIONS CORP.) (“Company”). Capitalized terms used herein and not otherwise defined herein shall have the respective meanings set forth in that certain First Amended Security Agreement entered into on June 19, 2013, by and between Company and Buyer.
