THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) dated as of September 12, 2012, is entered into by and among Tap Resources, Inc., a Nevada corporation (“Tap Resources”), Infinity Resources Inc., a Nevada corporation (“Infinity Resources”), and the shareholders of Infinity Resources listed on Schedule 1 to this Agreement (each, a “Shareholder” and, collectively, the “Shareholders”).
