THIS LOCK-UP AGREEMENT (this “Agreement”) is made and entered into as of this 9th day of January, 2014 (the “Effective Date”) by and among New Energy Technologies, Inc. a corporation organized under the laws of the State of Nevada (the “Company”) and the shareholder whose name appears on the signature page hereto (“Shareholder”).
