This SECURITIES PURCHASE AGREEMENT (this “Agreement”), dated as of January 21, 2014, is made and entered into by and between Dais Analytic Corporation, a New York corporation with its principal executive offices located at 11552 Prosperous Drive, Odessa, Florida 33556 (the “Company”), and Soex (Hong Kong) Industry & Investment Co., Ltd., a Hong Kong corporation with its registered address at Room 11-2-1103 11/F Kowloon Bldg 555, Nathan Rd Mongkok KL, Hong Kong (the “Purchaser” and, together with the Company, the “Parties”).
