THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) is made this __ day of August 2014, by and among Graphite Corp., a Nevada corporation (“Pubco”) on one hand, and Advance Graphene Ltd., a company incorporated under the laws of the State of Israel (the “Company”) and the shareholders of the Company as set forth on Exhibit A attached hereto (collectively, the “Selling Shareholders”), on the other hand.
