This SEPARATION AND SETTLEMENT AGREEMENT (this “Agreement”) is entered into on January 10, 2017 (the “Effective Date”) by and among ELITE DATA SERVICES INC., a Delaware corporation (the “Company”), and DR. JAMES G. RICKETTS (“Ricketts”). The Company and Ricketts are collectively referred to herein as the “Parties” and each as a “Party.”
