This Securities Purchase Agreement (this “Agreement”) is made and entered into effective as of the 1st day of February 2018 (the “Effective Date”) by and between Cerebain Biotech Corp., a Nevada corporation (the “Company”), and Charles Laba-Chedrawi, (the “Purchaser”).
