THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of March 8, 2019, by and among TOTAL SPORTS MEDIA INC., a Wyoming corporation (“TSMI”), FSH MERGER SUB, LLC., a Wyoming limited liability company and a wholly-owned subsidiary of TSMI (the “Merger Sub”), and F SQUARED HEMP, LLC., a Montana company (the “F Squared Hemp”).
