This Settlement Agreement and Release (this “Agreement”), dated as of April 30, 2023 (the “Effective Date”), is made and entered into by and among Matthew Guild and Sterling Harlan (each a “Noteholder” and, together, the “Noteholders”) and Unrivaled Brands, Inc.
