THIS EMPLOYMENT AGREEMENT (the “Agreement”) between Cellular Dynamics International, Inc., a Wisconsin corporation (the “Company”), and Thomas M. Palay (the “Executive”) is entered into as of July 30, 2013 (the “Effective Date”). In consideration of the covenants contained herein, the parties agree as follows:

This First Amendment (this “Amendment”) amends that certain Fourth Amended and Restated Registration Rights Agreement, dated as of November 1, 2012 (the “Agreement”), by and among by and among CELLULAR DYNAMICS INTERNATIONAL, INC., a Wisconsin corporation (the “Company”), and the individuals and entities who have executed a counterpart signature page hereto (each individually an “Amending Preferred Shareholder” and collectively the “Amending Preferred Shareholders”).
