THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of December 14, 2015, by and among VPG Systems U.S., Inc., a Delaware corporation (“Buyer”), Stress-Tek, Inc., a Washington corporation (the “Company”), the Persons listed on Schedule A (each individually a “Seller” and collectively, “Sellers”), and Keith Reichow, solely in his capacity as the representative of Sellers (“Representative”). Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in Article VIII of this Agreement. Buyer, the Company, Sellers and Representative are referred to collectively herein as the “Parties” and individually as a “Party.”
