This AMENDED AND RESTATED CREDIT AGREEMENT dated as of June 29, 2016 (this “Agreement”) is among GROUPON, INC., a Delaware corporation (the “Borrower”), each financial institution that from time to time becomes a party hereto as a lender (each a “Lender”) and JPMORGAN CHASE BANK, N.A.
