THIS PURCHASE AND SALE AGREEMENT AND JOINT ESCROW INSTRUCTIONS (this “Agreement”) is entered into as of October 22, 2013, by and between FPMC FRISCO REALTY PARTNERS, LP, a Texas limited partnership (“Seller”), and SABRA TEXAS HOLDINGS, L.P., a Texas limited partnership (“Buyer”).

THIS LOAN AGREEMENT (this “Agreement”) is made as of October 22, 2013, by and among FOREST PARK REALTY PARTNERS III, LP, a Texas limited partnership (“Phase III Borrower”), and BT FOREST PARK REALTY PARTNERS, LP, a Texas limited partnership (“Phase I Borrower,” with Phase III Borrower and Phase I Borrower being referred to individually and collectively as “Borrower”), on one hand, and SABRA TEXAS HOLDINGS, L.P., a Texas limited partnership (collectively, with its successors and assigns, “Lender”), on the other hand.

THIS AMENDMENT TO AMENDED AND RESTATED CREDIT AGREEMENT (this “Amendment”) dated as of October 15, 2013 is by and among SABRA HEALTH CARE LIMITED PARTNERSHIP, a Delaware limited partnership (the “Borrower”), SABRA HEALTH CARE REIT, INC., a Maryland corporation (together with its successors, the “REIT Guarantor”), the other Guarantors identified on the signature pages hereto (collectively, the “Guarantors”), the lenders identified on the signature pages hereto (the “Lenders”), and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.
