The undersigned, Eco-Stim Energy Solutions, Inc., a company formed under the laws of Nevada (the “Company” and collectively with its subsidiaries, including, without limitation, all entities disclosed or described in the Registration Statement (as hereinafter defined) as being subsidiaries of the Company (the “Subsidiaries”), the “Company Entities” and each a “Company Entity”), hereby confirms its agreement with FBR Capital Markets & Co.
