THIS CERTIFIES that, for value received, Reed’s Inc., a Delaware corporation (the “Company”), upon the surrender of this Warrant to the Company at the address specified herein, at any time during the Exercise Period (as defined below) will upon receipt of the Exercise Price (as defined below), sell and deliver to PMC Financial Services Group, LLC (the “Holder”) up to the number of duly authorized, validly issued and fully paid and non-assessable shares of common stock of the Company designated Reed’s Inc. Common Stock, par value $0.0001 per share, set forth above. The term “Common Stock” shall mean the aforementioned common stock of the Company together with any other equity securities that may be issued by the Company in connection therewith or in substitution therefor, as provided herein. This AMENDMENT NUMBER ONE dated October 1, 2014 for reference purposes only, hereby amends that certain STANDARD INDUSTRIAL/COMMERCIAL SINGLE TENANT LEASE-NET dated for reference purposes as of May 7, 2009 (“Lease”) by and between 525 South Douglas Street, LLC (“Lessor”) and REEDS, Inc. (“Lessee”) with respect to the property commonly known as 12930 and 13000 South Spring Street, City of Los Angeles, County of Los Angeles, State of California, as more fully described in the Lease and referred to as the Premises. All defined terms used herein shall have the same meaning as in the Lease unless otherwise herein specifically set forth.
