The following will confirm our agreement relating to the proposed subscription rights offering (the “Rights Offering”) to be undertaken by Cemtrex, Inc., a Delaware corporation (the “Company”), pursuant to which the Company will distribute to holders of record of its common stock, par value $0.001 per share (the “Common Stock”), subscription rights (the “Rights”) as set forth in the Company’s registration statement on Form S-1, as amended (File No. 333-213369), declared effective by the U.S. Securities and Exchange Commission (the “Commission”) on December 12, 2016, to subscribe for and purchase up to an aggregate of 1,500,000 units (the “Units”), each consisting of one share of the Company’s series 1 preferred stock (the “Rights Shares”) and two series 1 warrants (the “Warrants”), each to purchase one share of Common Stock, at a subscription price of $10.00 per Unit (the “Subscription Price”).
