This Amended and Restated Stockholder Rights Agreement (as executed and as it may be amended, supplemented, restated or otherwise modified from time to time, as provided herein, this “Agreement”), dated as of March 3, 2017, is entered into among ECO-STIM ENERGY SOLUTIONS, INC., a Nevada corporation (the “Company”), FT SOF HOLDINGS VII LLC (“FTP” and, together with any other Persons that become parties to and bound by this Agreement as an “FTP Investor”, the “FTP Investors”), MR. This Registration Rights Agreement (this “Agreement”), is dated as of March 3, 2017, by and among ECO-STIM ENERGY SOLUTIONS, INC., a Nevada corporation (the “Issuer”), and FT SOF VII HOLDINGS, LLC (together with its permitted successors and assigns, the “Note Purchaser”).
