This Gold Bar North Purchase and Sale Agreement (this “Agreement”), is made and entered into this _____ day of June, 2017 (the “Effective Date”), by and among Nevada Gold Ventures, LLC, a Nevada limited liability company (hereinafter either “Seller” or “Nevada Gold”) and U.S. Gold Corp., a Nevada corporation (“U.S. Gold”), and U.S. Gold Acquisition Corporation, a Nevada corporation (hereinafter either “U.S.GAC” or “Buyer”).
