This Share Exchange Agreement (subject to joinder and amendment as set forth herein, and together with the exhibits, schedules and other attachments hereto, this “Agreement”) is entered into as of the date first set forth above (the “Effective Date”) by and between (i) US VR Global.com Inc., a Delaware corporation formerly named Boly Group Holdings Corp.
